1. Agreement to Terms

By accessing or using ChatBD ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

ChatBD provides WhatsApp Business automation services, including but not limited to:

  • Automated message responses
  • AI-powered customer service
  • Customer relationship management
  • Broadcast messaging
  • Analytics and reporting

3. User Account

3.1 Registration

To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscription and Payment

4.1 Pricing

Subscription fees are clearly displayed on our pricing page. Prices are in Bangladesh Taka (BDT) and may be subject to change with 30 days' notice.

4.2 Billing

Subscriptions are billed monthly or annually in advance. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 Auto-Renewal

Your subscription will automatically renew unless you cancel before the renewal date. You can cancel anytime from your account settings.

4.4 Refund Policy

We offer a 7-day money-back guarantee for new subscriptions. Refund requests must be submitted within 7 days of the initial payment. Pro-rated refunds may be available within 30 days at our discretion.

5. Usage Limits and Fair Use

5.1 Message Limits

Each subscription plan includes a specified number of messages per month. Additional messages may incur extra charges or require an upgrade to a higher plan.

5.2 Fair Use Policy

You agree to use the Service in a fair and reasonable manner. Excessive use that impacts system performance or other users may result in throttling or account suspension.

6. Acceptable Use Policy

6.1 Prohibited Activities

You agree NOT to use the Service to:

  • Send spam or unsolicited messages
  • Distribute adult content, hate speech, or illegal material
  • Engage in harassment, fraud, or scams
  • Violate WhatsApp's Terms of Service or policies
  • Resell or redistribute the Service without authorization
  • Attempt to gain unauthorized access to the system
  • Use the Service for illegal purposes

6.2 Consequences

Violation of this policy may result in:

  1. First offense: Warning
  2. Second offense: Temporary suspension
  3. Third offense: Permanent ban without refund

7. Intellectual Property

7.1 Our Rights

The Service, including all content, features, and functionality, is owned by ChatBD and protected by copyright, trademark, and other intellectual property laws.

7.2 Your Rights

You retain all rights to the content and data you upload to the Service. By using the Service, you grant us a limited license to use your content solely to provide the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and process your data as described in the Privacy Policy.

9. Third-Party Services

The Service integrates with third-party services including WhatsApp Business API, OpenAI, and payment processors. Your use of these services is subject to their respective terms of service.

10. Service Availability

10.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. Scheduled maintenance will be announced in advance when possible.

10.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

11. Limitation of Liability

To the maximum extent permitted by law, ChatBD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

12. Indemnification

You agree to indemnify and hold harmless ChatBD from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by the laws of Bangladesh without regard to conflict of law provisions.

13.2 Arbitration

Any disputes arising from these Terms shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with Bangladesh Arbitration Act.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

16. Severability
